Questions
What is an annual return?
A yearly filing with the Registrar of Companies that records the company's directors, shareholders, registered office and share details.
How does a share transfer work?
The parties sign a share transfer form, the board approves it where the Articles require, the share register is updated and new certificates are issued. Stamp duty or other requirements may apply.
What are company secretarial services?
The work that keeps a company's legal records and its filings with the Registrar of Companies up to date: the statutory registers, the annual return, minutes and resolutions, and the forms for changes to directors, shares and the registered office. The list above gives each filing with its form.
What are company secretarial fees based on?
On how many filings and changes the company has in a year, the state of its records, and whether its accounts and tax work sit with us too.
How do I choose a company secretary?
Two things can be checked: whether the secretary is registered with the Registrar of Companies, and whether they hold the qualifications prescribed under the Companies Act for the company. It also helps to know who will do the work, how filing deadlines are tracked and where the registers are kept.
